What Is a Bill of Lading?

A Bill of Lading (B/L) is the fundamental document in ocean freight, serving three critical functions: (1) evidence of the transport contract between shipper and carrier, (2) receipt confirming the carrier has received the goods, and (3) a document of title that can be endorsed to transfer cargo ownership.

The document of title function makes the B/L unique among transport documents. While goods are at sea, ownership can be transferred by endorsing (signing over) the B/L. This feature is essential for letter of credit (L/C) transactions.

Types of Bills of Lading

Three Functions

1. Contract Evidence

Proves the transport agreement between shipper and carrier: route, conditions, and freight terms.

2. Goods Receipt

Confirms what was received by the carrier. A "clean" B/L means goods were received in good condition.

3. Document of Title

The holder of the original B/L has the right to claim the cargo at destination. This makes B/L unique vs CMR (road) and AWB (air), which are not documents of title.

B/L and Letters of Credit

Banks require specific B/L conditions for L/C payment: clean, on-board, full set (usually 3 originals), matching L/C terms.
